Manager, Corporate Governance & Finance

Reporting to the President of Axxiome Americas, we are looking for a result-oriented individual to provide critical internal support in our growing organization.  Specifically, this role will support the executive team of the Americas by organizing corporate documentation for several legal entities in addition to supporting integral finance functions that keep the organization free of risk and ensure compliance with any and all government tax, audit or any other regulations or requirements.  The ideal candidate will be a collaborative individual with financial and administrative experience who has previously worked in an international technology or consulting organization.

Among other things, this role will be responsible for two key aspects of our organization: Finance and Corporate Governance.

Finance (working with the Global Finance Team):

  • Manage the processing of accounts payable and receivable items (evaluation of invoice accuracy, entry into proprietary system, ensuring timely approvals, etc.).
  • Liaise with Global Finance and the Head of HR on the daily management and administration of America’s financial accounts.
  • Liaise with the Head of HR on ongoing human capital activities (ex. bonus calculations, salary reviews) ensuring corporate standards are met and relate to financial objectives achieved.
  • Assist the Global Finance team in forecasting for revenue, cash flow, and any other related duties required in the financial operation of the business.
  • Lead expense budgeting and forecasting activities, including management of policies and procedures that govern such spending, as well as supporting (and improving where possible) the technologies and services utilized to process and analyze the data associated with it.
  • Act as a key point of contact with tax advisors and financial auditors for the Americas.
  • Identify and implement improvements in existing processes to streamline financial reporting and reduce inefficiencies.

Corporate Governance

  • Organize and participate in board meetings as required by recording minutes and following up on important actions and decisions from meetings, formally documenting resolutions, organizing record/log books.
  • Oversee the control, coordination and supervision of legal issues and management of various relationships with such firms including business & tax registrations and any required annual reports.
  • Secure and maintain appropriate insurance policies across the Americas.
  • Maintain policies, procedures and governance processes for multiple legal entities including ensuring compliance with internal policy and standardized delivery methodology. This includes resource, time and financial tracking and reporting on projects, assurance, and quality control of deliverables.
  • Implement a comprehensive governance framework that ensures vendor, partner, and client agreements (e.g., contracts, MSAs, SOWs, etc.) are documented and effectively managed to mitigate risk and maximize value to the organization.
  • Collaborate with global counterparts to ensure organizational activities, processes, policies, and daily practices are shared and maintained consistently wherever appropriate.
  • Assist with corporate strategic planning initiatives and, in close collaboration with finance and other strategic Axxiome functions, monitor progress; identify and track deliverables, and take ownership of strategic initiative communications in this function.
  • Perform other reasonable tasks as assigned by management in support of Axxiome’s goals and objectives.


  • Bachelor’s degree in finance, business administration, or a comparable alternative from an accredited university or college.
  • 5-10 years professional experience that required coordinating financial, administrative, and related tasks across multiple teams, individuals, and entities.
  • Ability to deal with confidential information without exception
  • Knowledge of corporate governance and finance requirements applicable to privately owned companies with multiple geographic entities or subsidiaries
  • Demonstrated experience in organizing corporate entity record/minute books.
  • Experience with legal contracts and liaising with external counsel (NDA, MSA, SOW).
  • Ability to communicate effectively (including persuasion skills) with executive C-level stakeholders daily.
  • Superior organizational, communication, administrative and coordination skills, and the ability to effectively manage multiple priorities, addressing the most critical things first and organizing yourself based on the strategic direction and needs of the business.
  • Strong interpersonal skills, with the proven ability to listen, collaborate and build relationships with staff, clients, remote colleagues, supervisors, and others.
  • Proven ability to effectively communicate when speaking and in writing and present to small groups, generating presentations with a high degree of attention to detail when required.
  • Able to, both independently and collaboratively, solve problems, make decisions, and support change, exercise sound judgment ask questions and be open to the input and decisions of others.
  • Has an understanding on typical tax issues in Canada/US/LATAM.
